1.1 “Lexington Medical,” “we,” “us” and “our” mean Lexington Medical, Inc., a corporation organized under the laws of the Commonwealth of Massachusetts with its principal place of business at 23 Crosby Dr, Bedford, MA 01730, USA, and its subsidiaries and affiliates.
1.2 “Website” means the Lexington Medical website located at https://lexington-med.com/ and any associated subdomains or digital platforms operated by Lexington Medical.
1.3 “Services” means, collectively, the informational, educational, and marketing resources made available through the Website, including but not limited to: product information pages, clinical evidence libraries, demo request submissions, contact forms, career listings, and any digital tools or portals Lexington Medical may provide in the future.
1.4 “Content” means all text, images, graphics, photographs, video, audio, data, information, clinical evidence summaries, technical specifications, Instructions for Use references, whitepapers, and other materials made available on or through the Website.
1.5 “IFU” or “Instructions for Use” means the official Instructions for Use documentation that accompanies each Lexington Medical Product at the time of delivery. The IFU is a regulated document that provides binding technical, safety, and operational instructions for the proper use of the Product and shall take precedence over any Website content in the event of inconsistency.
1.6 “Products” means Lexington Medical’s AEON™ Endoscopic Surgical Stapling System, the AEON™ Powered Stapling System, associated reload cartridges, and any other physical medical devices manufactured and distributed by Lexington Medical.
1.7 “User” or “you” and “your” mean any individual who accesses or uses the Website or Services.
1.8 “Privacy Policy“ means Our privacy policy, as updated from time to time, available at https://lexington-med.com/privacy-policy.
1.9 “Lexington Medical Materials” means: (a) the name, logo, and domain name of Lexington Medical, the AEON™ product name, and any associated trademarks or service marks; (b) all Content, specifications, and other works of authorship; and (c) any and all other information, data, documents, materials, works, software, designs, inventions, and other tangible or intangible technical material or information provided by Lexington Medical through the Website. For the avoidance of doubt, Lexington Medical Materials include any anonymized, aggregated data derived from Lexington Medical’s monitoring of Website access or use, but do not include Personal Information as governed by the Privacy Policy.
2.1 Grant of Access. Subject to Your compliance with these Terms, Lexington Medical grants You a limited, non-exclusive, non-transferable, revocable right to access and use the Website and Services for informational, educational, and professional evaluation purposes only.

Lexington Medical does not use automated decision-making systems to provide clinical recommendations through the Website.
3.2 Not a Substitute for Professional Clinical Judgment. No Content on the Website — including but not limited to product descriptions, clinical evidence summaries, technical specifications, surgeon testimonials, outcome data, or application guides — constitutes medical advice or a recommendation to use any Product in any specific clinical scenario. All clinical decisions regarding the use of Lexington Medical Products must be made by qualified Healthcare Professionals exercising independent professional judgment, taking into account the specific circumstances of each patient and procedure.
3.3 IFU Precedence. IN THE EVENT OF ANY CONFLICT, DISCREPANCY, OR INCONSISTENCY BETWEEN ANY CONTENT ON THIS WEBSITE AND THE INSTRUCTIONS FOR USE (IFU) THAT ACCOMPANY A LEXINGTON MEDICAL PRODUCT, THE IFU SHALL CONTROL AND TAKE PRECEDENCE IN ALL CASES. The IFU is the authoritative, legally binding document governing the safe and proper use of each Product. The Website may contain simplified descriptions, marketing summaries, or general overviews that do not capture the full scope, limitations, contraindications, warnings, or precautions set forth in the IFU.
3.4 Consult the IFU Before Use. Healthcare Professionals must review and understand the complete IFU for any Lexington Medical Product before use. The IFU contains essential information regarding: indications for use; contraindications; warnings and precautions; adverse events; sterility and storage requirements; and proper operational procedures. Failure to follow the IFU may result in serious patient injury.
3.5 Clinical Evidence Limitations. Individual results may vary. Past performance and reported outcomes do not guarantee future results in Your clinical practice or with Your patient population.
3.6 Regulatory Status. Lexington Medical Products are regulated medical devices. Availability, cleared indications, and regulatory status may vary by country and jurisdiction. Not all Products described on the Website may be available or cleared/approved for use in Your jurisdiction. 3.7 Protected Health Information (PHI) and HIPAA Non-Compliance. The clinical, technical, and product-related Content on this Website — including product descriptions, clinical evidence summaries, application guides, technical specifications, and surgeon testimonials — is designed primarily for licensed Healthcare Professionals and institutional stakeholders involved in the evaluation, selection, or procurement of surgical stapling systems. This Content is not intended as patient-facing health information and should not be used by any individual to make decisions regarding personal medical conditions, diagnoses, or treatment. The Website also contains general informational content (such as company information, career opportunities, and news) that is available to all visitors without restriction.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LEXINGTON MEDICAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Lexington Medical does not warrant that: (a) the Website will be uninterrupted, timely, secure, or error-free; (b) the Content will be accurate, complete, or current; or (c) any defects will be corrected.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEXINGTON MEDICAL, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE WEBSITE, SERVICES, OR CONTENT, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF LEXINGTON MEDICAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LEXINGTON MEDICAL’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE SHALL NOT EXCEED FIVE HUNDRED U.S. DOLLARS (USD $500.00), EXCEPT WHERE A HIGHER AMOUNT IS REQUIRED BY APPLICABLE LAW. Nothing in these Terms shall exclude or limit any liability that cannot lawfully be excluded or limited.
You agree to indemnify, defend, and hold harmless Lexington Medical, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) Your use of or access to the Website; (b) Your violation of these Terms; (c) Your violation of any applicable law or regulation; or (d) Your violation of any rights of a third party.
The Website may contain links to third-party websites, resources, or content that are not owned or controlled by Lexington Medical. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You access third-party websites at Your own risk and subject to the terms and conditions of use for such websites.
Lexington Medical reserves the right to modify these Terms at any time. We will notify Users of material changes by posting a legally prominent notice on the Website and, where You have submitted an email address for communications, by transmitting an email notification regarding the update. Your continued use of the Website after such posting or email transmission constitutes Your acceptance of the modified Terms. If You do not agree with the modified Terms, You must discontinue use of the Website immediately.
Lexington Medical may suspend or terminate Your access to the Website at any time, for any reason, without prior notice or liability. Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
12.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of laws principles.
12.2 Binding Arbitration. Any controversy, claim, or dispute arising out of or relating to these Terms, the Website, or the Services shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Boston, Massachusetts. The arbitrator’s decision shall be binding and may be entered as a judgment in any court of competent jurisdiction.
12.2.1 Right to Opt Out of Arbitration. You may opt out of the arbitration provision in Section 12.2 by sending written notice to Lexington Medical within thirty (30) days of Your first access to the Website. Notice must be sent to [email protected] with the subject line “Arbitration Opt-Out” and must include Your full name, mailing address, and a clear statement that You wish to opt out of arbitration. If You opt out, all disputes will be resolved in accordance with Section 12.4. The opt-out does not affect any other provision of these Terms.
12.3 Class Action Waiver. YOU AND LEXINGTON MEDICAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.
12.4 Exceptions to Arbitration. Notwithstanding Section 12.2, either party may bring an action in the state or federal courts located in the Commonwealth of Massachusetts for: (a) injunctive or other equitable relief to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights; or (b) any claim that is not subject to arbitration under applicable law. You consent to the personal jurisdiction and venue of such courts for purposes of any action brought under this Section.
12.5 Waiver of Jury Trial. TO THE EXTENT PERMITTED BY APPLICABLE LAW, FOR ANY CLAIM THAT PROCEEDS IN COURT RATHER THAN ARBITRATION UNDER SECTION 12.4, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY.
13.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between You and Lexington Medical regarding Your use of the Website and supersede all prior agreements and understandings.
13.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
13.3 Waiver. The failure of Lexington Medical to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
13.4 Assignment. You may not assign or transfer these Terms or Your rights hereunder without Lexington Medical’s prior written consent. Lexington Medical may assign these Terms without restriction.
13.5 Force Majeure. Lexington Medical shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government actions, or failures of third-party systems.
13.6 Notices. Lexington Medical may provide notices to You via the Website, by email, or by postal mail to the most recent address You have provided.
13.7 Export Controls and Sanctions Compliance. The Website and any information, technical data, or Content obtained through it may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and sanctions programs administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC). By accessing the Website, You agree to comply with all applicable export control and sanctions laws. You shall not access, download, or use any Content in violation of U.S. export laws or in any country or territory subject to comprehensive U.S. sanctions.
